These Terms & Conditions ("Terms") govern your access to and use of Guestloop (the "Service"), provided by Guestloop ("Guestloop," "we," "us," or "our"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. Acceptance of Terms
By accessing or using Guestloop, you confirm that you are at least 18 years old and able to enter into a binding contract, and you agree to be bound by these Terms and our Privacy Policy.
2. Description of Service
Guestloop lets you create and manage events, add and track guests, and schedule templated SMS reminders that are delivered to your guests. Messages are sent through third-party providers, and payments are processed through a third-party payment provider.
3. Accounts and Registration
You must provide accurate information when creating your account and keep it up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us promptly of any unauthorized use.
4. Prepaid Credits and Billing
The Service uses a prepaid credit model. You may purchase credits in top-up amounts between $10 and $100 through our payment provider, Stripe. Each SMS sent through the Service deducts from your credit balance at our then-current per-message rate.

Credits are non-refundable and do not expire.
•
We may change per-message pricing or top-up options on a going-forward basis; changes do not affect messages already sent.
•
You are responsible for maintaining a sufficient balance to send your scheduled reminders. Reminders may be held if your balance is insufficient and sent once you add credits.
•
You authorize us and our payment provider to charge your selected payment method for the top-ups you purchase.
5. SMS and Messaging Compliance
This section is important. When you use Guestloop to message your guests:

You represent and warrant that you have obtained all necessary consent from each guest to send them SMS messages, as required by applicable law.
•
You agree to comply with all applicable laws, regulations, and industry standards governing SMS messaging, including the U.S. Telephone Consumer Protection Act (TCPA), CAN-SPAM where applicable, and CTIA and carrier guidelines.

You will honor opt-out requests. Guests may opt out by replying STOP (or a similar keyword), and you will not message guests who have opted out.
•
You will not use the Service to send unlawful, harassing, deceptive, or prohibited content.
You are solely responsible for the content of your messages and your relationship with your guests. Guestloop acts only as a tool that transmits messages at your direction.
6. Acceptable Use
You agree not to use the Service to:
•
Send spam, unsolicited, or unlawful messages;
•
Violate the rights of others, including privacy and intellectual property rights;
•
Transmit malware or attempt to disrupt or compromise the Service;
•
Attempt to gain unauthorized access to the Service or other accounts;
•
Use the Service in violation of any applicable law.
We may suspend or terminate accounts that violate these Terms.
7. Your Content and Data
You retain ownership of the content and data you provide, including your event and guest information. You grant Guestloop a limited license to host, process, and transmit your content solely to operate and provide the Service to you. You are responsible for the accuracy of your data and for your guests’ personal information, and you represent that you have the right to provide it to us. Our handling of personal information is described in our Privacy Policy.
8. Intellectual Property
The Service, including its software, design, and branding, is owned by Guestloop and protected by intellectual property laws. These Terms do not grant you any right to use our trademarks or other branding without our prior written consent.
9. Service Availability
We strive to keep the Service available and reliable, but we provide it on an "as available" basis. We do not guarantee that any specific SMS message will be delivered, as delivery depends on carriers and other factors outside our control. We may modify, suspend, or discontinue features at any time.
10. Termination
You may stop using the Service and close your account at any time. We may suspend or terminate your access if you violate these Terms or if we discontinue the Service. Unused prepaid credits are non-refundable. Provisions that by their nature should survive termination will survive.
11. Disclaimers
The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that messages will be delivered.
12. Limitation of Liability
To the maximum extent permitted by law, Guestloop and its suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising from or related to your use of the Service. Our total liability for any claim relating to the Service will not exceed the amount you paid to us in the three (3) months preceding the event giving rise to the claim.
13. Indemnification
You agree to indemnify and hold harmless Guestloop and its officers, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your use of the Service, your content and messages, your relationship with your guests, or your violation of these Terms or applicable law — including any claim arising from messages you send through the Service.
14. Governing Law
These Terms are governed by the laws of the State of [State], United States, without regard to its conflict of laws rules. You agree to the exclusive jurisdiction of the state and federal courts located in [State] for any dispute that is not subject to arbitration or small-claims resolution, to the extent permitted by law.
15. Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will update the effective date above and, where appropriate, provide additional notice. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
